Terms of Use
These Terms of Use ("Terms") are an agreement between you and Edge Offload, Inc., a Delaware corporation ("Edge Offload", "we", "us"). They govern your use of our website at edgeoffload.com, the Edge Offload mobile app (the "App"), Edge Offload devices (each a "Box"), and the related online services (together, the "Services"). By using the Services you agree to these Terms. If you do not agree, do not use the Services.
Our Privacy Policy explains how we handle information and is part of these Terms.

1. Who may use the Services
You must be at least 18 years old, or the age of majority where you live, to use the Services. If you use the Services for an organization, you confirm that you have authority to accept these Terms for it, and "you" includes that organization.
2. Pre-release Services
The Services are in pre-release testing. Features may change, stop working, or be removed without notice, and the Services may contain errors. We may limit who can use them. We provide pre-release Services so that people can try them and tell us what works.
3. License to the App
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, for your personal use or your organization's internal use. You may not:
- copy, modify, or distribute the App, or make it available to others as a service;
- reverse engineer, decompile or disassemble the App or a Box's software, except where the law allows it despite this restriction;
- remove or bypass security, authentication or usage limits in the Services;
- use the Services to build a competing product.
4. Boxes and venue agreements
If you own, host or test a Box under a separate written agreement with us, such as a pilot or venue agreement, that agreement governs the Box and controls where it conflicts with these Terms. A venue that hosts a Box decides whether to offer it to guests and which features to turn on; the venue does not receive your camera frames, audio, transcripts, questions or answers.
5. Using the Services responsibly
Glasses with cameras and microphones capture other people. You are responsible for how you use them. You agree:
- to follow the laws that apply to recording, photographing and listening to people, including laws that require everyone's consent before a conversation is recorded;
- to follow the rules of the places you visit, including any venue that hosts a Box;
- not to use the Services to harass, stalk, identify or surveil people, or to infringe anyone's rights;
- not to use the Services for anything illegal, or to interfere with, overload or gain unauthorized access to a Box, a network, or our systems;
- not to share your device credentials or guest access with others.
6. AI results
The Services use AI models that can be wrong, incomplete or out of date, including in object detection, transcription and translation. Check important results before relying on them. Do not rely on the Services for medical, legal, financial or safety decisions, for navigation, or in emergencies, and do not use them in a way that distracts you while driving or doing anything else that needs your full attention.
7. Glasses and other third-party services
The App works with glasses, phones and software made by other companies, and with networks we do not control. Their terms govern your use of them, and we are not responsible for them. A third party may change its products in ways that stop the Services from working with them.
8. Ownership and feedback
We and our licensors own the Services, including the App, Box software, and our names and logos. These Terms do not give you any rights to them except the license in section 3. You own what you capture and the questions you ask. If you send us feedback or suggestions, you allow us to use them without restriction or payment.
9. Suspension and termination
You may stop using the Services at any time and may ask us to delete your device registration. We may suspend or end your access, including revoking a device's credentials, if you breach these Terms, if your use creates risk for others, or if we stop offering the Services. Sections 6, 8, and 10 through 16 continue after termination.
10. Disclaimers
TO THE FULLEST EXTENT THE LAW ALLOWS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT RESULTS WILL BE ACCURATE.
11. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, EDGE OFFLOAD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AND US$100. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITS, SO THEY MAY NOT ALL APPLY TO YOU.
12. Indemnity
If a third party brings a claim against us arising from your breach of these Terms or your misuse of the Services, including recording someone unlawfully, you will cover our reasonable losses and costs from that claim, to the extent the law allows.
13. Terms for Apple devices
If you downloaded the App from Apple's App Store or through TestFlight:
- These Terms are between you and Edge Offload only, not Apple. Edge Offload, not Apple, is solely responsible for the App and its content.
- Your license to the App is limited to use on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
- Apple has no obligation to provide maintenance or support for the App.
- If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the App. To the maximum extent the law allows, Apple has no other warranty obligation for the App, and any other claims, losses, liabilities, damages, costs or expenses from a failure to conform to a warranty are Edge Offload's responsibility, subject to these Terms.
- Edge Offload, not Apple, is responsible for addressing any claims by you or a third party relating to the App or your use of it, including product liability claims, claims that the App fails to meet a legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
- If a third party claims that the App or your use of it infringes its intellectual property rights, Edge Offload, not Apple, is solely responsible for the investigation, defense, settlement and discharge of that claim.
- You confirm that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- Questions, complaints or claims about the App go to us at the address in section 16.
- Apple and its subsidiaries are third-party beneficiaries of these Terms, and once you accept them Apple has the right to enforce them against you as a third-party beneficiary.
14. Governing law and disputes
The laws of the State of Delaware, without regard to its conflict-of-laws rules, govern these Terms. Any dispute arising from these Terms or the Services will be resolved only in the state or federal courts located in Delaware, and you and we consent to their jurisdiction. Before filing a claim, please email us so we can try to resolve it informally. Nothing in this section limits rights you have under the consumer protection laws of the place you live.
15. General
We may update these Terms. We will post the new version on this page with a new effective date, and if a change is material we will tell you in the App or by email before it takes effect. Continuing to use the Services after a change takes effect means you accept it. If any part of these Terms is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with any separate agreement described in section 4, are the entire agreement between you and us about the Services.
